These terms apply to business customers, dealers, and distributors purchasing in bulk.

Definitions

“Buyer”, “you”, or “distributor” refers to any business, retailer, or commercial purchaser ordering wholesale quantities.
“Products” means all items sold under our brand, especially aerosol spray paints.
Wholesale Eligibility and Verification
Buyers must register with valid business credentials and receive approval for wholesale pricing.
The Company reserves the right to reject or revoke wholesale status at any time.
Bulk pricing, credit terms (if any), and minimum order quantities are disclosed upon approval.
Orders and Payment Terms
All wholesale orders are subject to 100% advance payment, unless a written credit agreement exists.
Orders may carry MOQ (Minimum Order Quantity) requirements.
Pricing is exclusive of taxes, duties, and shipping, unless stated otherwise in writing.
Prices are subject to change without notice until the order is confirmed.
Partial delivery may occur in multiple shipments unless full shipment is agreed.
Delivery and Risk Transfer
Risk of damage, loss, leakage, misuse, or transport issues transfers to the buyer as soon as goods leave our facility or are handed to the courier.
The buyer is responsible for:
Receiving and unloading the goods
Safe storage and compliance with fire or safety regulations
Appointing qualified personnel for handling aerosol products
Inspection and Claims
Goods must be inspected immediately upon delivery.
Claims for shortage, damage, or defect must be submitted in writing within 24 hours with photographic evidence.
We do not accept returns or exchanges on wholesale goods unless:
The item was clearly defective at the time of dispatch
You provide written proof and return the item unused, unopened, and intact
Warranty and Disclaimer
No performance guarantees, implied warranties, or usage outcomes are provided.
Buyers must conduct their own technical testing and product validation.
The Company is not liable for resale losses, business interruption, or any indirect or consequential damages.
All aerosol safety and storage obligations transfer to the buyer upon delivery.
Branding, Resale and Representation
You may resell products under our brand but may not rebrand, relabel, or modify packaging without written consent.
No buyer may claim to be an “exclusive distributor” unless agreed in writing.
Any marketing or use of our intellectual property must follow our guidelines.
Compliance and Indemnity
The buyer agrees to:
Comply with all laws relating to hazardous goods, transport, labeling, storage, and disposal
Ensure that all resellers or end-users receive safety information
Indemnify and hold harmless the Company and its team from:
Injuries, losses, or third-party claims arising after product handover
Fines, penalties, or regulatory action due to non-compliance or resale violations
Return of Unsold Goods
We do not accept return of unsold goods under any circumstances. Buyers must manage their own stock and demand forecasts.
Jurisdiction and Governing Law
These B2B terms are governed by the laws of Pakistan. Any disputes shall be resolved in the exclusive jurisdiction of the competent courts in Lahore, Pakistan.
